BUYER
A natural or legal person who is a merchant, creates an account and places orders through the site, acting within the scope of its commercial or professional activity for the purpose of resale.
2. Subject and Nature of the Agreement
This Agreement sets out the rights and obligations of the parties regarding the wholesale of imitation jewellery and accessories ordered electronically by the Buyer through sedajewellery.com.
2.1. Not a Consumer Transaction — IMPORTANT
sedajewellery.com sells only to commercial buyers (B2B / wholesale). By placing an order, the Buyer accepts, declares and undertakes that:
- it acts for commercial or professional purposes, with a view to resale;
- it is not a consumer;
- these sales are not consumer transactions within the scope of Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation;
- consequently, the 14-day right of withdrawal and other rights granted to consumers under that legislation do not apply to these sales.
The relationship between the parties is governed by the Turkish Code of Obligations No. 6098 and the Turkish Commercial Code No. 6102.
To verify the Buyer's commercial status, the Seller reserves the right to request a tax registration certificate, certificate of activity, trade registry record or equivalent documents, and to reject the account/order if they are not provided.
3. Account, Price Visibility and Account Security
- Product prices are shown to Buyers who are logged in with an account approved by the Seller. To see prices and place orders, an account must be opened and approved by the Seller.
- The Buyer undertakes that the information provided at registration is accurate, current and complete.
- The Buyer is responsible for keeping its account details confidential and for all orders placed through its account.
- Wholesale price lists are trade secrets. The Buyer agrees not to share price lists, the catalogue or site content with third parties.
- The Seller reserves the right to reject an account application or suspend an existing account without giving reasons.
4. Placing an Order and Formation of the Agreement
- The Buyer places an order by adding products to the cart and completing checkout.
- Placing an order does not constitute binding acceptance by the Seller. The Agreement is formed when the Seller confirms the order in writing (by email) and/or hands the products over to the carrier.
- The Seller may reject an order in whole or in part in cases of insufficient stock, pricing/description errors, unverifiable payment, suspicious transactions or where the Buyer's commercial status cannot be verified. In that case any amount collected is refunded to the Buyer and the Seller bears no further liability.
- The minimum order amount is TRY 2,000 (VAT included).
5. Prices, Currency and Taxes
- All prices shown on the site are in Turkish lira (TRY), and payment is collected in Turkish lira.
- Prices shown on the site include VAT.
- Prices may change without prior notice. The price binding on the Buyer is the price at the time the order is placed.
- Currency conversion on an international Buyer's card/account and any fees charged by its bank are borne by the Buyer.
- Amounts shown on the site in foreign currencies are approximate and for information only; payment is always collected in Turkish lira.
- The shipping fee is not included in the price and is charged at checkout when the order is placed; see the Delivery and Shipping Terms.
- For international sales, import taxes, customs duties and VAT arising in the destination country are not included in the price and are borne by the Buyer.
6. Payment
- For orders placed through the site, payment is made by credit/debit card via a virtual POS on the PayTR platform. This platform accepts cards issued abroad.
- Bank transfer/EFT is not accepted for orders placed through the site. Bank transfer/EFT applies only to direct orders placed via WhatsApp; those orders fall outside this Agreement and are handled under terms agreed separately between the parties.
- Card details are not seen, recorded or stored by the Seller. Payments are processed by a PCI-DSS compliant payment institution.
- An order is not processed until successful payment has been confirmed.
- The Seller reserves the right to cancel transactions suspected of fraud and to request additional verification.
7. Product Characteristics and Tolerances
- The products are imitation jewellery and accessories; no undertaking is given that they contain precious metals or precious stones.
- Product images are representative. Colour tones may differ due to screen settings, lighting and photography conditions.
- For handcrafted products and products using natural stones, variations in size, weight, colour tone and texture arise from the nature of the product and do not constitute defects.
- Reasonable manufacturing tolerances apply to product dimensions.
- The Seller reserves the right to change its product range and models without prior notice.
8. Defective Goods, Inspection and Duty to Notify
As the Buyer is a merchant, Article 23/1-c of the Turkish Commercial Code applies:
- The Buyer must inspect the products immediately upon receipt.
- Obvious defects must be notified to the Seller in writing within 2 (two) days of delivery.
- Hidden defects that cannot easily be detected by inspection must be notified within 8 (eight) days of their discovery.
- If no notification is made within these periods, the products are deemed accepted and the Buyer's right to claim based on defects lapses.
8.1. Remedies for Defects
Where a defect, a missing item or a wrong product sent by the Seller has been notified in time and in due form and the Seller finds the claim justified, remedies apply in the following order:
- Primary remedy: replacement of the product with a defect-free equivalent.
- If no defect-free equivalent is in stock or replacement is not possible within a reasonable time: a price reduction or a refund of the product price.
The parties have agreed that the optional rights under the warranty against defects will be exercised in the order above. This limitation does not apply in cases of gross negligence or fraud by the Seller.
For the procedure and how to apply, see the Cancellation and Return Terms.
9. Limitation of Liability
- The Seller's total liability arising from an order is in all cases limited to the price of that order.
- The Seller is not liable for indirect or consequential losses such as loss of profit, loss of business, loss of reputation or third-party claims.
- Cases of gross negligence and wilful misconduct by the Seller are reserved.
10. Resale, Trademarks and Intellectual Property
- All content on the site (product images, texts, logo, design, catalogue) belongs to the Seller and is protected by intellectual property legislation.
- The Buyer may resell the products it purchases in its own store/channels. However, it may not use the Seller's trademark, logo or trade name in a way that presents itself as the Seller's authorised distributor, representative or manufacturer.
- The Buyer may use product images only to sell the products it has purchased; it may not license the images to third parties.
- If the Buyer offers the products under a brand other than the Seller's, it assumes all resulting legal liability.
11. Export, Sanctions and Compliance
- International sales are made on DAP (Incoterms® 2020) terms.
- The Buyer is solely responsible for compliance with all legislation on importing the products, product safety, labelling, testing and registration requirements in the destination country, and their resale.
- The Buyer undertakes that the products will not be re-exported to any country, person or entity in breach of international sanctions and embargo regimes.
12. Protection of Personal Data
The Buyer's personal data is processed in accordance with Turkish Personal Data Protection Law No. 6698 (KVKK) and related legislation. For details, see the Privacy Policy and the KVKK Information Notice.
13. Commercial Electronic Messages
With its explicit consent, the Buyer may receive commercial electronic messages about campaigns, promotions and new product announcements. The Buyer may withdraw this consent at any time, using the opt-out link in the messages or via İYS (the Turkish message management system).
14. Force Majeure
A party is not deemed in default if it cannot perform its obligations due to events beyond the parties' reasonable control (natural disasters, epidemics, war, strikes, cyber attacks, customs and logistics disruptions, decisions of public authorities, supply chain interruptions). If the impediment lasts longer than 30 days, either party may terminate the agreement and any amounts collected are refunded.
15. Amendments
The Seller may unilaterally update this Agreement and the policies annexed to it. The updated text takes effect when published on the site. Each order is governed by the text in force on the date the order is placed.
16. Governing Law and Jurisdiction
- This Agreement and its annexed policies are governed by Turkish law.
- The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded by the parties.
- The Courts and Enforcement Offices of Istanbul (Central/Çağlayan) have jurisdiction over disputes arising from this Agreement.
- In commercial disputes, applying to mediation before filing a lawsuit is a precondition for bringing an action.
- The Seller's commercial books and records and electronic order records constitute conclusive evidence within the meaning of Article 193 of the Turkish Code of Civil Procedure.
17. Entry into Force
By approving this Agreement at the order step, the Buyer declares that it has read, understood and accepted all its provisions. The Agreement enters into force when the Seller confirms the order.
